Terms of sale

1. Purpose
These General Terms and Conditions of Sale (GTC) govern all sales concluded between CHICPLUIE, brand operated by CHICPLUIE SAS, 78 Avenue des Champs-Élysées, 75008 Paris (hereinafter the "Seller"), and any professional buyer (hereinafter the "Customer").
They take precedence over any purchasing terms or any document issued by the Client, except with the Seller’s explicit written agreement.
2. Products
The products offered are those listed in CHICPLUIE’s catalogs, collections, quotations, or marketing materials.
The Seller may change its models, compositions, colors, or finishes at any time, including for technical reasons or as trends evolve.
3. Orders
Any order, whether placed orally, in writing, by email, or through an agent, binds the Client upon confirmation.
It becomes firm and final after the Seller’s written confirmation.
An order minimum may apply depending on pricing tiers or collections.
The Seller reserves the right to refuse any order in the event of a prior dispute or a payment incident.
4. Price
Prices are stated in euros (€), exclusive of tax (excl. tax).
Prices may vary depending on raw materials or logistics costs. The applicable prices are those stated on the quotation or the order confirmation.
5. Billing
An invoice is issued for each delivery and transmitted electronically, unless otherwise agreed.
Invoiced samples may be credited if a corresponding order is placed within 30 calendar days.
6. Terms of Payment
Unless otherwise agreed:
- Payment on 30 days invoice date, by bank transfer (SEPA).
- No discount for early payment.
- In the event of late payment, penalties are due from the day after the due date, at the statutory rate increased by 10 points, as well as a lump-sum indemnity of 40 € for debt recovery costs (Art. L441-10 of the Commercial Code).
- The Seller may suspend any ongoing or future order in the event of a failure to comply with the payment deadlines.
7. Delivery
Delivery times are provided for guidance only, unless otherwise stipulated in a written contract. They shall not justify cancellation, penalties, or compensation.
Delivery terms are additional and will be the subject of a separate quotation upon order confirmation
Risk shall pass to the Customer upon handover to the carrier.
Receipt – Claims
The Client shall inspect the goods upon receipt.
Any claim for apparent defect or non-conformity must be made in writing within 5 business days following delivery, with supporting documents (photos, remarks, documents).
After this period, the goods shall be deemed accepted.
9. Returns
No returns will be accepted without the Seller’s prior written consent.
Return costs remain the responsibility of the Customer, except in the event of an error or non-conformity attributable to the Seller.
10. Retention of title
The Seller retains title to the goods until payment in full of the price, in principal and ancillary amounts, in accordance with Article 2367 of the Civil Code.
In the event of non-payment, the products may be repossessed without prior notice.
11. Intellectual Property
All models, designs, product names, logos, photographs, and content published by CHICPLUIE are protected under intellectual property rights.
Any reproduction or exploitation is prohibited without the Seller's written authorization.
12. Liability
The Seller’s liability is limited to the value of the products concerned.
No compensation may be claimed for indirect damages, loss of profits, or loss of revenue.
13. Force Majeure
CHICPLUIE cannot be held liable for any failure arising from an event of force majeure (strike, war, pandemic, supply disruption, etc.).
14. Confidentiality
The Customer undertakes to keep confidential all documents and technical or commercial information communicated by the Seller, including prototypes, technical data sheets, and price lists.
15. Governing Law – Jurisdiction
These Terms and Conditions of Sale are governed by French law.
Any dispute shall fall under the exclusive jurisdiction of the Commercial Court of CHICPLUIE’s registered office, even in the event of multiple defendants or a third-party claim.
